Integrated Payment Solutions, is a Delaware Limited Liability Company which is headquartered in Pennsylvania and registered as a foreign corporation with the Commonwealth Secretary of State. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.
